If you cease operations, you must deregister your business.
If you change the legal form of your business, you must also deregister it. First, you must deregister your business under its previous legal form. Then, you must re-register your business under the new legal form.
If you relocate the headquarters of your business, a branch office, or a dependent branch of your company to a new location without changing the jurisdiction within the municipality, a change of business registration is sufficient.
The deregistration must be carried out by the following persons or their authorized representatives:
- for sole proprietorships: by the business owner themselves
- for legal entities: by the legal representatives; this applies, for example, to limited liability companies (GmbH) and stock corporations (AG)
- for partnerships: by all partners authorized to manage the business: this applies, for example, to general partnerships (OHG), limited partnerships with share capital (KG), civil law partnerships (GbR), and limited liability companies and limited partnerships (GmbH & Co. KG)
If you relocate your business:
- If you relocate your business to another municipality, you must register the business at the new location. Your old location will be automatically deregistered.
- If you change your business location within the same municipality, a change of business registration is sufficient.
The following authorities will be informed of the business deregistration:
- Tax office
- Chamber of Crafts, if applicable
- Chamber of Industry and Commerce
- Local court
- Professional associations, if applicable
- Occupational safety department of the regional councils
You are required to deregister your business when you cease operations or change your legal structure.
If all the information and documents are complete, you will receive your confirmation of deregistration
- if you visit in person: immediately
- If you deregister in writing or online: within 3 days
